Please read this Sales agreement, and check the box below to indicate you are in agreement to these terms.

1) I/We make application to the Company for credit and/or to obtain further credit with the Company. l/We certify that the information supplied is true and correct to the best of my/our knowledge and further agree that a facsimile shall be as binding as an original signature.

2) I/We promise to pay my/our account in full on or before the due date as defined on each invoice. Further, I/we agree to pay any and all late charges assessed at the rate of 18% per annum on past-due balances.

3) Additionally, I/we agree to pay all of the Company's costs and expenses, including but not limited to, attorney's fees and legal expenses, incurred by in collecting amounts owed by applicant, in enforcing any term of this agreement, in responding to defenses, affirmative defenses
and/or counterclaims raised by Applicant, and/or in enforcing any term of a related personal guarantee.

4) If anytime my/our account becomes delinquent I/we, as listed in the Names of Corporate Officers, Partners, or Owner section, authorize the Company, to charge the outstanding balance to my/our credit card account(s) listed in the New Account Information section above.

5) If any term of this agreement is invalid,the invalid term shall be considered deleted from this agreement and shall not invalidate any other term(s).

6) Venue and jurisdiction of any suit or legal action may be had in St. Louis County, Missouri at the sole option of the Company.

7) I/We agree to notify the Company in writing prior to any changes in ownership, billing address, or authorized buyers.

8) I/We acknowledge that the Company makes no warranty or guarantee express or implied beyond those stated by the manufacturer. THE COMPANY DOES NOT WARRANT THE FITNESS OR MERCHANTABILITY OF ANY GOODS. Buyers' remedies for defective or nonconforming goods are limited exclusively to return of the goods and refund of the price or replacement. The Company will not be liable for consequential damages including, but not by the way of limitation, claims for labor and commercial damages.

9) Applicant understands that this credit application in no way obligates the Company to extend credit now or at a future date to the applicant.

10) Applicant is solvent at this time and agrees to notify the Company if Applicant's financial position should change and Applicant is unable to meet its obligations.

11) The Company reserves the right to cancel credit privileges without notice and demand immediate payment of all balances owing and/or withdraw available discounts on purchases if discount or payment terms are misused.

12) This credit application and any rights arising under it may be assigned to another party by the Company at anytime without Applicant's consent. Applicant may not assign its obligations to the Company without prior written consent which maybe withheld for any reason.

13) My/our signature serves as written consent for the Company to access personal and business credit information for the purpose of determining my/our credit standing in conjunction with opening a business credit account for which I am solely liable or have personally guaranteed.

14) Oral agreements or commitments to loan money, extend credit or to forbear from enforcing repayment of a debt including promises to extend or renew such debt are not enforceable. To protect you (Customer) and us (Wanforce) from misunderstanding or disappointment, any agreements we reach covering such matters are contained in this writing, which is the complete and exclusive statement of the agreement between us, except as we may later agree in writing to modify it.

PERSONAL GUARANTEE

Please read this guarantee, and check the box below to indicate you are in agreement to these terms.

1) The undersigned, an officer or owner of said business for which application for credit is being made, and in consideration of the extension of said credit availability by the Company does hereby absolutely and unconditionally guarantee, on a continuing basis, the performance of
all obligations of the person(s) and/or entity(ies) that signed the appended sales agreement and any and all obligations owed to the Company including but not limited to the prompt payment of all present and future indebtedness.

2) This guarantee is irrevocable and is binding on Guarantor and Guarantor's heirs, successors and assigns so long as any indebtedness remains unpaid or obligation unfulfilled. The guarantee shall continue in effect until the undersigned has notified the Company in writing of its cancellation, but such cancellation shall not alter any obligation of the undersigned arising hereunder prior to receipt of written notice.

3) Guarantor agrees to pay all of the Company's costs and expenses, including, but not limited to attorneys' fees and legal expenses, incurred by the Company in collecting amounts owed by Applicant, in enforcing any term of the sales agreement, in responding to defenses, affirmative
defenses and/or counterclaims raised by Applicant and/or Guarantor, and/or enforcing any term of this personal guarantee.

4) The undersigned further acknowledges and represents that any titles written near the signatures below is/are intended merely to clarify the individual's position with the Applicant and in no way is intended to limit or cancel the personal nature of this guarantee.
